Indemnification

You hereby indemnify, defend, and hold harmless GTR and all of its affiliates, officers, directors, shareholders, investors, advisors, employees, agents, representatives and attorneys and their respective heirs, successors and assigns (collectively, the "Indemnified Parties") from and against any and all liability and costs, including, without limitation, reasonable attorneys’ fees, incurred by the Indemnified Parties in connection with any claim arising out of or relating to any breach by you of these Terms or the representations, warranties, and covenants you have made by agreeing to these Terms. Entire Agreement

These Terms of Use constitute the entire agreement (“Agreement”) between you and GTR with respect to the subject matter of this Agreement and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding that subject matter. Any waiver of any provision of this Agreement will be effective only if in writing and signed by GTR.

In case any one or more of the provisions contained in this Agreement for any reason is held to be invalid, illegal or otherwise unenforceable in any respect, such invalidity, illegality or unenforceability will not affect any other provision of this Agreement, but this Agreement will be construed and reformed to the maximum extent permitted by law, in a manner consistent with the intent of this Agreement.

Government Law, Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United States and the state of New York (without regard to conflict of law principles). All controversies and disputes arising out of or relating to this Agreement shall be submitted to the courts of the State of New York, sitting in the borough of Manhattan, New York, New York or the United States of America located in the borough of Manhattan, New York, New York.
